Article 1 — Services Offered
Valfaex provides a platform connecting professional buyers and sellers of industrial equipment.
Article 2 — Commission
A commission is charged on each transaction according to the following scale: - Less than €1,000: 8% - €1,000 to €10,000: 5% - €10,000 to €50,000: 3% - Over €50,000: 2% This scale applies to both sales and rentals (calculated on the total rental amount).
Article 3 — Payment
Payments are secured and processed by Stripe. Sellers must create a Stripe Connect account to receive payments. Funds are transferred to the seller after deduction of the platform commission.
Article 4 — Cancellations and Refunds
Any cancellation request must be made before shipment of the item. Refunds are processed within 5 to 10 business days.
Article 5 — Transactions must go through the platform
Valfaex connects buyers and sellers and provides messaging, an offer system and a secure payment service. Any transaction arising from a connection made on the platform must be settled through the platform's payment service. Users undertake not to circumvent it, in particular by agreeing on a direct settlement in order to avoid the commission due. In the event of a breach, Valfaex reserves the right to invoice the commission that would have been due and to suspend or terminate the account concerned.
Article 6 — Role of the platform and liability
Valfaex acts solely as a technical intermediary. It is neither seller nor buyer nor agent of the parties, and is not a party to the sale or rental contract concluded between them. The seller alone is responsible for the conformity, condition, origin and description of the equipment, for delivery, and for their own tax obligations. The buyer alone is responsible for inspecting the equipment, in particular during the prior on-site visit, and for payment. Valfaex therefore cannot be held liable for disputes between users, including as regards conformity, defects, delays, transport or non-performance. Valfaex may offer mediation without this implying any acknowledgement of liability. Should Valfaex nonetheless be held liable, such liability is limited to the amount of commission received for the transaction concerned.
Article 7 — Receipts and invoicing
For each transaction paid online, the platform issues a detailed receipt to both parties. This document evidences payment but does not constitute an invoice for tax purposes. The seller must issue their own invoice to the buyer in accordance with their VAT situation. For cross-border B2B transactions within the European Union, the reverse-charge mechanism may apply; both parties must provide their intra-EU VAT number in their profile.
Article 8 — Right of Withdrawal
Under French law, the right of withdrawal does not apply to B2B transactions.
